These Terms and Conditions (“Terms”) govern your access to and use of the aromaticbuds.com website and any related services, communications, products, commercial activity or interactions with AromaticBuds, its CEO-approved affiliates, subsidiaries, third parties and staff (collectively, “Provider”). By accessing or using the Website or otherwise interacting with the Provider in any form (electronic or physical), you (the “User”) agree to be bound by these Terms.

1. Definitions and Scope

- “Website” means the Provider’s primary online e‑commerce platform at aromaticbuds.com and any subdomains or pages operated by the Provider.

- These Terms apply to all Users, visitors, customers and third parties who access the Website or purchase, receive or use any products or services provided directly or indirectly by the Provider.

2. Acceptance and Electronic Communications

- By accessing or using the Website or communicating with the Provider by any means, you consent to receive agreements, marketing material, notices, promotions and discounts, disclosures, consents and other communications electronically. Electronic communications satisfy any legal requirement that such communications be in writing.

3. Use Restrictions and Intellectual Property

- All content on the Website (including, without limitation, text, images, logos, trademarks, product descriptions, pricing, illustrations, designs and software) is the exclusive property of the Provider or its licensors and is protected by copyright, trademark and other applicable intellectual property laws.

- You may view and download content for your personal, non‑commercial use only, unless you obtain the Provider’s prior written consent. You may not copy, reproduce, distribute, display, alter, publish, extract or use any Website content for marketing, commercial or resale purposes without the express written permission of the CEO of AromaticBuds.

4. Product Information, Intended Use and Warnings

- The Provider retails a variety of products. All products are offered and sold strictly for in-vitro research use only, with the scope of further product development or microscopy use. (“Permitted Use”).

- Products are not for human or animal consumption, are not for in vivo or medicinal use, and must not be smoked, inhaled, ingested or otherwise consumed. Misuse of any product contrary to the Permitted Use may be hazardous and could result in injury, death or other loss. The product/s name, description, labelling, and all other imagery and cosmetic features are solely for marketing purposes only and have no legal significance or relevance, nor should they suggest the product's suitability for consumption.

- Products must be stored in their original, labelled packaging and kept out of reach of children (under 18) and animals to prevent accidental consumption. It is the User’s sole responsibility to ensure compliance.

- Product descriptions, images, net weights, colours and other specifications are approximate and subject to variation. The Provider does not warrant that product descriptions or other content are complete, accurate, reliable or current.

- You assume full responsibility and risk for the use, storage and disposal of any product you purchase. To the fullest extent permitted by applicable law, you release, indemnify and hold the Provider harmless from and against any and all claims, losses, liabilities, damages, costs and expenses (including legal fees) arising from the use or misuse of the purchased product/s.

5. Compliance and Legality

- It is your sole responsibility to ensure the legality of ordering, possessing, importing, transporting and using any product purchased from the Provider in your jurisdiction. The Provider makes no representation that any product is legal in any particular jurisdiction.

6. Shipping, Risk and Delivery

- The Provider will tender goods in good order to the carrier selected by the Provider. Title and risk of loss for shipped products pass to you upon delivery to the carrier, unless otherwise agreed in writing.

- The Provider is not liable for loss, damage, delay, seizure, customs detention, misdelivery or any other event occurring during shipment that is outside the Provider’s reasonable control. Claims for lost or damaged items must be raised in accordance with the Provider’s return and complaints procedure below.

7. Payment and Fraud

- You are responsible for providing complete and accurate payment and billing information. The Provider is not responsible for losses arising from your misuse, errors or misunderstanding of payment methods, or from fraudulent activity unrelated to the Provider’s intentional misconduct.

- Cash‑on‑delivery (COD) payments must be made in the exact amount due where possible. Any excess cash provided at delivery may be retained by the delivery agent at their discretion.

8. Returns, Refunds and Order Cancellation

- Returns are accepted only for products that are received damaged or defective, and only where the Provider, in its sole reasonable discretion, determines a return is justified.

- Where an eligible return is accepted, the Provider will, at its option, replace the item with an equivalent in‑stock item or issue a credit note in accordance with the Provider’s then‑current policies. Refunds for returned items are not available.

- All orders submitted through the Website are final and non‑cancellable by the User, except that the Provider may cancel any order for reasons including insufficient stock, pricing error or regulatory restriction. If the Provider cancels an order after payment has been received, you will receive a full refund for the cancelled order.

9. Complaints and Contact

- Complaints about product quality, delivery or other matters must be submitted by email to info@aromaticbuds.com with the subject line “Complaint” and sufficient details to allow the Provider to investigate. The Provider will handle each complaint in good faith and in accordance with its internal procedures.

10. Privacy and Data Handling

- All information you provide to the Provider may be used by the Provider, its agents and other third parties for order fulfilment, delivery, marketing and other related purposes as deemed appropriate by the Provider.

- The Provider cannot be held responsible for security vulnerabilities or breaches on your personal devices or networks. The Provider may suspend or refuse service to any user at its discretion.

11. Disclaimers and Limitation of Liability (Contractual Allocation)

- THE WEBSITE, ALL PRODUCTS, CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON‑INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

- TO THE FULLEST EXTENT PERMITTED BY LAW, THE PROVIDER’S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE WEBSITE, OR ANY PRODUCTS OR SERVICES PROVIDED SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE RELEVANT ORDER GIVING RISE TO THE CLAIM. IN NO EVENT SHALL THE PROVIDER, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, LOST GOODWILL OR OTHER INTANGIBLE LOSSES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, EVEN IF THE PROVIDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

- The foregoing allocation of liability represents a material part of the bargain between the parties and shall apply regardless of the cause of action or the theory of recovery.

12. Indemnification

- You agree to indemnify, defend and hold harmless the Provider and its affiliates, officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your breach of these Terms; (b) your violation of any law or the rights of a third party; or (c) your use or misuse of any product purchased from the Provider.

13. Changes to Terms

- The Provider may modify these Terms at any time. Updated Terms will be posted on the Website and will take effect upon posting. It is your responsibility to review these Terms periodically. Continued use of the Website after posting denotes your acceptance of the modified Terms.

14. Severability and Entire Agreement

- If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permitted and the remaining provisions shall remain in full force and effect.

- These Terms constitute the entire agreement between you and the Provider concerning the subject matter hereof and supersede all prior or contemporaneous agreements, understandings and representations.

15. Governing Law and Jurisdiction

- These Terms and any disputes arising from or related to them shall be governed by and construed in accordance with the laws of Malta, without regard to conflict of law principles.

- You agree that the courts of Malta shall have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms, subject to any mandatory jurisdictional protections afforded by applicable law.

16. Miscellaneous

- Failure by the Provider to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

- Headings in these Terms are for convenience only and do not affect interpretation.
